TERMS OF SERVICE
1. Acceptance of Terms
By accessing or using the services provided by Pique Commercial Funding ("Pique Commercial Funding," "we," "us," or "our"), you ("Client," "you," or "your") agree to comply with and be bound by these Terms of Service ("Terms"). These Terms apply to all visitors, clients, and others who access or use our commercial mortgage brokerage services, website, and communication platforms.
Please read these Terms carefully before accessing or using our services. If you disagree with any part of the terms, then you may not access or use our services. Your continued use of our services following the posting of any changes to these Terms constitutes acceptance of those changes.
2. Description of Services
Pique Commercial Funding is a commercial mortgage brokerage firm that provides financing solutions for commercial real estate transactions. Our services include, but are not limited to:
Commercial mortgage brokerage and loan facilitation
Loan structuring and financial analysis
Lender matching and relationship management
Consultation on commercial real estate financing options
Market research and financial advisory services
Communication services including email, phone, and SMS messaging
We act as an intermediary between borrowers and lenders. Pique Commercial Funding is not a lender and does not make credit decisions. Final approval of any loan application is at the sole discretion of the lending institution. We do not guarantee loan approval, specific terms, or interest rates.
3. Client Accounts and Registration
To access certain features of our services, you may be required to provide information and create an account. You agree to:
Provide accurate, current, and complete information during the registration and application process.
Maintain and promptly update your account information to keep it accurate, current, and complete.
Maintain the security of your password and login credentials and accept all risks of unauthorized access to your account and the information you provide.
Notify us immediately if you discover or suspect any security breaches related to our services or your account.
Be at least 18 years of age and have the legal capacity to enter into binding contracts.
We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete, or if you violate these Terms.
4. SMS/Text Messaging Program Terms
By providing your mobile phone number to Pique Commercial Funding and opting in to our SMS messaging program, you expressly consent to receive text messages from us at that number. This consent is not a condition of purchasing any goods or services.
4.1 Types of SMS Messages
By enrolling in our SMS program, you may receive the following types of messages:
Alerts: Time-sensitive notifications regarding your loan application status, deadlines, and required actions
Notifications: Updates about your account, appointments, document requests, and important service-related information
Promotions: Special offers, rate updates, and promotional opportunities for commercial financing products
Updates: General information about our services, market conditions, and industry news relevant to commercial real estate financing
Transactional Messages: Confirmations, reminders, and other messages directly related to your transactions with us
4.2 Message Frequency
Message frequency may vary depending on your account activity and the services you are using. You may receive up to 10 messages per month, though actual frequency may be higher or lower based on your interactions with our services.
4.3 Opt-Out Instructions
You can opt-out of receiving SMS messages at any time. To stop receiving text messages from Pique Commercial Funding, simply text STOP to the number from which you received the message. After texting STOP, you will receive one final confirmation message indicating that you have been unsubscribed. You will no longer receive SMS messages from us unless you opt back in.
For help or assistance, text HELP to the number from which you received the message, or contact us using the information provided in Section 12 of these Terms.
4.4 Message and Data Rates
Message and data rates may apply. Standard text messaging rates charged by your mobile carrier will apply to all SMS messages sent and received. The number of messages you receive will depend on your use of our services. Check with your mobile carrier for details about your specific messaging plan and associated costs.
4.5 Carrier Liability and Message Delivery
Mobile carriers are not liable for delayed or undelivered messages. While we make reasonable efforts to ensure timely delivery of SMS messages, Pique Commercial Funding is not responsible for delays or failures in message delivery caused by your mobile carrier, network congestion, technical issues, or any other factors beyond our control. Important deadlines and time-sensitive information should not rely solely on SMS delivery.
4.6 Supported Carriers
Our SMS program is supported by major carriers including AT&T, T-Mobile, Verizon, Sprint, and other participating carriers. Please verify with your carrier that SMS services are available on your plan.
4.7 Age Requirement
You must be at least 18 years of age or older to use this SMS service. By opting in to receive SMS messages, you represent and warrant that you are at least 18 years old and have the legal capacity to consent to receive such messages.
4.8 Privacy and SMS Data
Your mobile phone number and SMS communications are subject to our Privacy Policy. We will not sell, rent, or share your mobile phone number with third parties for their marketing purposes without your explicit consent. However, we may share your information with service providers who assist us in delivering SMS messages and operating our business.
5. Client Obligations and Prohibited Activities
You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:
Provide false, misleading, or inaccurate information in loan applications or during any interactions with us or lenders.
Use our services in any way that violates any applicable federal, state, local, or international law or regulation.
Engage in fraudulent activities, money laundering, or any illegal financial transactions.
Impersonate or attempt to impersonate Pique Commercial Funding, our employees, another client, or any other person or entity.
Interfere with or disrupt the integrity or performance of our services or the data contained therein.
Attempt to gain unauthorized access to our systems, networks, or data.
Use our services to harass, abuse, or harm another person or entity.
Submit applications without genuine intent to pursue commercial financing.
Share your account credentials with unauthorized third parties.
Violation of any of these prohibitions may result in immediate termination of services and may be reported to appropriate law enforcement authorities.
6. Broker Compensation and Fees
Broker Fees: Pique Commercial Funding earns compensation through fees paid by lenders upon successful loan closings. In some cases, fees may be charged to borrowers as permitted by applicable law and disclosed in advance. All fees will be clearly outlined in your loan documents and discussed with you prior to proceeding with any transaction.
Third-Party Fees: In addition to broker fees, you may be responsible for various third-party fees associated with your commercial loan, including but not limited to: appraisal fees, legal fees, title fees, environmental reports, and lender processing fees. These fees are separate from our compensation and are paid directly to the respective service providers.
No Obligation: Engaging our services does not obligate you to proceed with any loan offer. You are free to decline any financing option presented to you. All fees will be clearly disclosed before you commit to any agreement.
7. Confidentiality and Information Sharing
We understand the sensitive nature of financial information. All information you provide to Pique Commercial Funding will be kept confidential and used solely for the purpose of securing financing on your behalf. We may share your information with:
Potential lenders and financial institutions for the purpose of obtaining loan quotes and approvals
Third-party service providers necessary to process your loan application (appraisers, title companies, attorneys)
Our employees, agents, and contractors who need access to such information to perform services on your behalf
Regulatory authorities and law enforcement agencies when required by law
By using our services, you authorize us to share your information with these parties for the purposes described above.
8. Disclaimers and Limitation of Liability
Broker Capacity: Pique Commercial Funding acts solely as a mortgage broker and intermediary. We are not a lender and do not make lending decisions. We do not guarantee loan approval, specific interest rates, terms, or conditions. All final lending decisions are made by the lending institution.
No Financial or Legal Advice: While we provide guidance on financing options, we do not provide legal, tax, or investment advice. You should consult with your own legal, tax, and financial advisors before making any decisions based on information we provide.
Disclaimer of Warranties: Our services are provided on an "AS IS" and "AS AVAILABLE" basis. Pique Commercial Funding makes no representations or warranties of any kind, express or implied, regarding the availability of financing, the accuracy of information provided by third parties, or the outcome of any loan application.
Limitation of Liability: In no event shall Pique Commercial Funding, nor its directors, employees, partners, agents, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, business opportunities, or other economic losses, resulting from (i) your use of or inability to use our services; (ii) any actions or decisions made by lenders; (iii) delays or changes in interest rates or market conditions; (iv) failure to secure financing; or (v) any errors or omissions in information provided, whether based on warranty, contract, tort (including negligence), or any other legal theory. Our total aggregate liability shall not exceed the amount of fees paid to us by you.
9. Indemnification
You agree to defend, indemnify, and hold harmless Pique Commercial Funding and its officers, directors, employees, agents, contractors, and affiliates, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of: (a) your use of our services; (b) any misrepresentation or breach of representation made by you in your loan application or related documents; (c) a breach of these Terms; (d) your violation of any law or the rights of a third party; or (e) any fraudulent or illegal activity.
10. Termination
Either party may terminate the business relationship at any time with written notice. We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms, provide false information, or engage in fraudulent activity. Upon termination, your right to use our services will immediately cease. If you wish to terminate the relationship, you may do so by contacting us in writing.
Termination does not relieve you of any obligations incurred prior to termination, including any fees owed for services already rendered or for loans that proceed to closing.
11. Dispute Resolution and Governing Law
These Terms shall be governed and construed in accordance with the laws of [Insert State], without regard to its conflict of law provisions.
